Terms of Service

Effective date: October 1, 2026

These Terms of Service ("Terms") govern your use of buildprice.com and the Build Price service (the "Service"), provided by Build Price, LLC ("Build Price", "we", "us"). By using the Service, you agree to these Terms on behalf of yourself and the organization you represent ("Customer").

The Service

Build Price reads the invoices and other documents you provide and shows your organization's spending, prices, and potential savings.

Accounts

You must provide accurate information and keep your sign-in credentials secure. You are responsible for activity under your account. Customer is responsible for the people it allows to use the Service on its behalf.

Customer data

Customer owns the documents and information it provides to the Service ("Customer Data"). Customer grants Build Price a limited license to use Customer Data to provide, maintain, and improve the Service, as described in our Privacy Policy. Customer is responsible for having the right to provide Customer Data to us.

Connected accounts

If you connect a mailbox or other account, you authorize us to access it as described when you connect it. You can disconnect it at any time. Your use of third-party services is governed by their own terms.

Acceptable use

You agree not to misuse the Service, including by:

• accessing it without authorization, or interfering with its operation or security;
• uploading content that is unlawful or that you do not have the right to share;
• reverse engineering the Service, except as permitted by law; or
• using it to build a competing product.

Fees

Fees, if any, are as agreed in writing between Customer and Build Price. Until such an agreement, the Service is provided without charge.

Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.

Disclaimers

Prices, totals, and potential savings shown by the Service are estimates based on the documents provided and may contain errors. They are not accounting, tax, legal, or financial advice. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILD PRICE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. BUILD PRICE'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT CUSTOMER PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS.

Termination

Customer may stop using the Service at any time. We may suspend or end access if these Terms are violated or if needed to protect the Service. On termination, we will delete Customer Data as described in our Privacy Policy.

Changes

We may update these Terms from time to time. We will post the updated Terms here with a new effective date and, if the changes are significant, notify Customer. Continued use of the Service after changes take effect means you accept them.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in New Castle County, Delaware.
